• "We" or "Us" refers to Pulsed AI, a document processing service provider based in Kuala Lumpur, Malaysia.
• "Agreement" refers to these Terms and Conditions along with any service-specific agreements.

2. Acceptance of Terms

By accessing our website or engaging our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you should not use our services.

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use our services. By using our services, you represent and warrant that you meet these requirements.

3. Service Description

Pulsed AI provides document intelligence services including workflow assessment, AI-powered document pipeline implementation, and optimization of existing processing systems. Our services are designed to help organizations reduce manual document processing effort through targeted application of extraction and classification technologies.

Service availability and specific features may vary based on your selected package and requirements. We reserve the right to modify, suspend, or discontinue any aspect of our services with reasonable notice to active clients.

4. User Responsibilities

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

• Use our services for any illegal activities or to violate applicable laws
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of our services
• Share access credentials with unauthorized parties
• Reverse engineer, decompile, or attempt to extract source code from our systems

Data Provision

You are responsible for ensuring that any documents or data you provide to us for processing are accurate, complete, and provided with appropriate authorization. You warrant that you have the necessary rights to share such data with us for service delivery purposes.

5. Intellectual Property

Our Rights

All intellectual property rights in our services, including but not limited to software, models, methodologies, documentation, and website content, remain the property of Pulsed AI. These Terms do not grant you any ownership rights to our intellectual property.

License to Use

We grant you a limited, non-exclusive, non-transferable license to use our services solely for your internal business purposes during the term of your service agreement. This license terminates upon conclusion or termination of services.

Your Data

You retain all rights to your documents and data. By using our services, you grant us a limited license to process your data solely for the purpose of delivering the requested services. We will not use your data for any other purpose without your explicit consent.

6. Payment Terms

Fees for our services are specified in your service agreement or quotation. All prices are quoted in Malaysian Ringgit (RM) and are exclusive of applicable taxes unless otherwise stated.

Payment is due according to the terms specified in your service agreement. Late payments may incur additional charges and may result in suspension of services. We reserve the right to modify our pricing with thirty days' notice to existing clients.

Refund Policy

Refunds for services are handled on a case-by-case basis and are subject to the terms of your specific service agreement. Generally, fees for completed assessment work or development effort already performed are not refundable. For implementation services, refunds may be prorated based on work completed at the time of cancellation.

7. Service Delivery and Performance

We will deliver services with reasonable skill and care, in accordance with the specifications outlined in your service agreement. However, document processing accuracy and performance may vary based on document quality, format consistency, and other factors beyond our control.

We provide accuracy estimates based on assessment of representative document samples. Actual performance in production may differ due to document variations, quality issues, or changes in your document workflows. We do not warrant specific accuracy percentages or processing speeds unless explicitly stated in a written service level agreement.

Implementation timelines are estimates based on typical project complexity. Actual delivery dates may be affected by factors including client data availability, integration requirements, and scope changes.

8. Disclaimers

Our services are provided "as is" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or completely secure, though we implement reasonable measures to ensure quality and security.

While our document processing solutions aim to improve accuracy and efficiency, we do not guarantee elimination of all errors or complete automation of your document workflows. Human review remains important for certain processing scenarios.

Any advice, recommendations, or information provided through our services should not be construed as professional legal, financial, or business consulting advice. You should consult appropriate professionals for such matters.

9. Limitation of Liability

To the maximum extent permitted by Malaysian law, our total liability for any claims arising from or related to our services shall not exceed the fees paid by you for the specific service giving rise to the claim during the twelve months preceding the claim.

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Nothing in these Terms shall limit our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded or limited under Malaysian law.

10. Indemnification

You agree to indemnify and hold harmless Pulsed AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, your violation of these Terms, or your violation of any rights of another party.

11. Termination

Either party may terminate services in accordance with the terms specified in your service agreement. Unless otherwise stated, either party may terminate with thirty days' written notice.

We reserve the right to immediately suspend or terminate services if you breach these Terms or engage in activities that could harm our systems, reputation, or other clients.

Upon termination, you must cease all use of our services. Provisions regarding intellectual property, confidentiality, limitation of liability, and dispute resolution shall survive termination.

12. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of service delivery. This obligation continues for three years after termination of services.

Confidential information does not include information that is publicly available, independently developed, or required to be disclosed by law.

13. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.

Informal Resolution

Before pursuing formal legal action, both parties agree to attempt to resolve disputes through good faith negotiation. Either party may initiate this process by providing written notice of the dispute to the other party.

14. General Provisions

Entire Agreement

These Terms, together with any service-specific agreements and our Privacy Policy, constitute the entire agreement between you and Pulsed AI regarding the use of our services.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to any affiliate or in connection with a merger, acquisition, or sale of assets.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of significant changes by posting a notice on our website or by email to your registered address. Changes become effective thirty days after notification.

Your continued use of our services after changes to these Terms constitutes acceptance of the modified terms. If you do not agree with the changes, you should discontinue use of our services.
